A premier AmLaw 50 firm is seeking a
Compensation & Benefits Associate Attorney
to join its Boston office.
This opportunity is ideal for an attorney interested in advising public and private companies, private equity sponsors, boards of directors, and executive leadership on sophisticated executive compensation, employee benefits, and transactional matters.
Ideal Background

3–6 years
of executive compensation and employee benefits experience gained at a national or international law firm
• Experience advising clients on
equity compensation
, including stock options, restricted stock, RSUs, performance awards, and other incentive compensation arrangements
• Experience drafting and negotiating
employment agreements, executive employment agreements, severance agreements, retention agreements, change-in-control agreements, and other executive compensation arrangements
• Experience advising clients regarding
proxy disclosures
, executive compensation disclosure requirements, and public company governance matters
• Strong knowledge of
Internal Revenue Code Sections 280G and 409A
and related tax considerations affecting executive compensation arrangements
• Experience counseling clients on executive compensation and employee benefits issues arising in
mergers and acquisitions, private equity transactions, and initial public offerings (IPOs)
• Strong drafting, analytical, communication, and client counseling skills
• Ability to independently manage sophisticated compensation and benefits matters while maintaining significant client interaction
• Excellent academic credentials from an ABA-accredited law school

Massachusetts bar admission required or ability to become admitted
